Overview

JOB PURPOSE:

 

Energy Systems Group, LLC (ESG) is an energy services company that designs, builds and operates energy-related infrastructure solutions for its government customers.  The Senior Counsel advises management and represents the company, in coordination with the General Counsel, on a broad array of matters of significant legal importance, primarily, but not exclusively, with respect to our federal government business.  The Senior Counsel is the frontline legal support to all levels of our federal business unit. This position is administratively intensive and requires experience with, and knowledge of, federal government contracting, including FAR/DFARS.  This position is primarily performed at our offices in Eagan, Minnesota.

Responsibilities

MAIN ACCOUNTABILITIES:

  • Provide legal and ethics/business practice advice to management and non-managerial personnel across the organization, with particular emphasis on supporting the contracts, procurement and delivery teams on federal government construction projects
  • Cradle-to-grave interpretation of contract requirements
  • Negotiate and draft contracts and other documents with third parties and their attorneys
  • Lead or support avoidance and resolution of complex commercial disputes; often working directly with the other party’s attorney
  • Draft legal memoranda, correspondence, non-disclosure agreements, change orders and amendments, delay notices, claim-related documents, articles of procurement (RFP/RFQ requests) and responses thereto, Freedom of Information Act (FOIA) requests, and other formal documents and filings as required
  • Research legal questions as necessary to support the General Counsel and other VP’s, including related to FAR/DFARS, state-specific statutory requirements, common law and federal statutes/regulations to support business decision making
  • Stay apprised of statutory and regulatory developments affecting our business
  • Assist Human Resources in employment/personnel legal matters
  • Lead initiatives to improve legal, contract and procurement departmental practices, processes and systems
  • Develop and provide training and presentations on legal and compliance issues affecting our business
  • Develop clear, concise, and consistent provisions for contracts and other legal documents
  • Formulate logical approaches and recommendations to address complex issues
  • Exercise good judgment and tact
  • Work efficiently under pressure
  • Performs additional duties deemed necessary by senior management

Qualifications

JOB REQUIREMENTS:

EDUCATION/CERTIFICATIONS and EXPERIENCE

Minimum:

  • Juris Doctor degree and admitted to practice law in a state (Minnesota preferred)
  • At least five years of relevant experience with federal government contracting, including familiarity with FAR/DFARS
  • Prior experience in similar settings where sound legal and business acumen were required

Preferred:

  • Experience with ESPC and UESC contracts
  • Experience in construction contracting

  • Ability to formulate logical approaches and recommendations to address complex issues
  • Ability to define problems, collect data, establish facts, draw valid conclusions, and exercise discretion
  • Maturity and professionalism to handle frequent direct interaction with officers and senior managers at ESG, and with external organizations, customers, and the public

The employee is required to practice, recognize, and interpret safety precautions and follow safety rules and OSHA requirements as they relate to the job.

 

The employee is required to work in an indoor environment. The noise level in the work environment is usually moderate. This position requires the ability to think quickly on your feet while maintaining a level head.  The ability to defuse sensitive issues is mandatory.

 

Some travel is required.
